Agreement to Terms
These Terms of Service ("Terms") govern your use of Pilot Hub Studio's ("Company," "we," "our," or "us") website and services. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.
Our Services
Pilot Hub Studio provides software development services, including but not limited to:
- • Custom web and mobile application development
- • AI integration and chatbot development
- • API development and integration services
- • PayloadCMS and content management solutions
- • RAG model implementation
- • White-label development services
- • Technical consulting and support
User Responsibilities
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Prohibited Uses
You agree not to use our services to:
- • Violate any applicable laws or regulations
- • Infringe on intellectual property rights
- • Transmit malicious code or harmful content
- • Engage in fraudulent or deceptive practices
- • Interfere with or disrupt our services
- • Reverse engineer our proprietary technology
Project Terms and Conditions
Project Scope
Each project will be governed by a separate Statement of Work (SOW) that outlines specific deliverables, timelines, and project requirements. The SOW becomes part of these Terms when executed.
Changes and Revisions
Changes to project scope must be agreed upon in writing. Additional work beyond the original scope may result in additional fees and timeline adjustments.
Client Responsibilities
- • Provide timely feedback and approvals
- • Supply necessary content, assets, and access
- • Ensure accuracy of provided information
- • Maintain backup of all data and content
Intellectual Property Rights
Ownership
Upon full payment of all fees, you will own the custom code and designs specifically created for your project. We retain ownership of our proprietary tools, frameworks, and general methodologies.
License to Use
We grant you a non-exclusive license to use any third-party components, libraries, or frameworks incorporated into your project, subject to their respective licenses.
Portfolio Rights
We reserve the right to showcase your project in our portfolio and marketing materials, unless otherwise agreed in writing.
Payment Terms
Fees and Invoicing
All fees are quoted in USD and are due according to the payment schedule outlined in your project agreement. Invoices are typically due within 30 days of receipt.
Late Payments
Late payments may incur interest charges of 1.5% per month. We reserve the right to suspend work on projects with overdue payments.
Refunds
Refunds for completed work are generally not available. Refund eligibility for uncompleted work will be determined on a case-by-case basis.
Warranties and Disclaimers
Limited Warranty
We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 30-day warranty on delivered work to fix any bugs or defects.
Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
Confidentiality
We agree to maintain the confidentiality of any proprietary or confidential information you share with us during the course of our engagement. This obligation survives termination of our agreement.
Termination
Either party may terminate a project agreement with written notice. Upon termination, you will pay for all work completed to the date of termination. We will provide you with all work product created up to the termination date.
Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes will be resolved in the courts of Miami-Dade County, Florida.
Force Majeure
We shall not be liable for any delay or failure to perform due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, terrorism, or government actions.
Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website. Your continued use of our services after changes constitutes acceptance of the new Terms.
